These terms and conditions apply to all ed-lead services. All services and programmes are as described on our website (www.ed-lead.com), although we do reserve the right to add value and modify content to reflect the changing business environment. Any modification to our programmes designed to more accurately support your business goals and requirements will be clearly outlined in documentation provided to you prior to Statement of Work signature.
Confidentiality and Privacy
We take your privacy and confidentiality seriously. Your details, company details and information which could be deemed confidential will not be disclosed to any other third party without your express permission.
Our payment terms
Our Outsourced Services Proof of Concept programmes are payment in advance, whilst Retained Agreements are monthly in advance. Any specially agreed terms captured in your Statement of Work take precedence over these Terms & Conditions.
Late payment
All invoices are issued based on the payment terms as set out in our agreed Statement of Work. ed-lead limited reserves the right to charge interest and further recovery costs on any invoice being overdue at the published rates as set out in the Late Payment of Commercial Debts Act 1998, amended 2013.
Our materials:
We have spent considerable time and money compiling our training materials and they are copyrighted to us. You are able to use the tools and techniques shared for use in developing yourself and your business only. Any reproduction or distribution is not allowed.
Outsourced Programmes
(a) Training and Access to Systems.
You commit to providing us with suitable and on-going training and access to all relevant systems, contacts (data) and information so that we can work effectively on your behalf.
(b) Use of Data.
In order to represent you effectively we will require access to your data and email system. With regards data, you will be known as the Data Controller and ed-lead will be know as the Data Processor. This relationship will continue for the duration of our work together and relate to any data provided to ed-lead.
Data will be used to contact companies on your behalf. Data typically held includes Company Name, First Name, Last Name and Email address of the data subject. It may also include company address and telephone number. Other information may be held, depending on the nature of the project. Data will be used exclusively at your directions and for your benefit.
As Data Controller you confirm that any data provided to ed-lead has been collected in accordance with Article 28 of the General Data Protection Regulations and any breach is not the responsibility of ed-lead as the data processor. We will always represent your business to the best of our abilities and in line with your instruction.
(c) Tools & Access to Systems.
In order to represent you, and work effectively with you, we will require access to certain Systems (e.g. email accounts, CRM). By signing this SoW you consent to providing us with suitable access to your systems and to ed-lead using suitable tools designed for effective sales engagement.
(d) Right to Terminate
(for Business Development & Marketing Services programmes): Our business development programmes are priced based on a minimum term (either duration or bundle of days) which is detailed in this Statement of Work. Should you wish to cancel prior to the end of this period all outstanding monies will need to be paid in full.
Outsourced Marketing Services
All work is carried out by ed-lead on the understanding that the client has agreed to our terms and conditions.
Copyright & Trademarks
Copyright is retained by ed-lead on all design work including words, pictures, ideas, visuals and illustrations unless specifically released in writing and after all costs have been settled. If a choice of designs is presented and one is chosen for your project, only that solution is deemed to be given by us as fulfilling the contract.
All other designs remain the property of ed-lead, unless specifically agreed in writing. By supplying text, images and other data to ed-lead for inclusion in the customer’s website or other medium, the customer declares that it holds the appropriate copyright and/or trademark permissions. The ownership of such materials will remain with the customer, or rightful copyright or trademark owner.
Any artwork, images, or text supplied and/or designed by ed-lead on behalf of the customer, will remain the property of ed-lead and/or its suppliers unless otherwise agreed in writing. A licence for use of the copyright material is granted to the customer solely for the project defined in the scope or request and not for any other purpose.
The customer may request in writing from ed-lead, the necessary permission to use materials (for which ed-lead holds the copyright) in forms other than for which it was originally supplied, and ed-lead will, at its discretion, grant this and may charge for the additional usage. Such permission must be obtained in writing before any of the aforesaid artwork, images, text, or other data is used.
Any software, code, plugin or other third party material used in a web or digital project remains the property of the creator and any ongoing licence fees or fees for upgrades are the responsibility of the client, not ed-lead.
By supplying images, text, or any other data to ed-lead, the customer grants ed-lead permission to use this material freely in the pursuit of the design.
Should ed-lead, or the customer supply an image, text, audio clip or any other file for use in a website, multimedia presentation, print item, exhibition, advertisement or any other medium believing it to be copyright and royalty free, which subsequently emerges to have such copyright or royalty usage limitations, the customer will agree to allow ed-lead to remove and/or replace the file on the site.
The customer agrees to fully indemnify, and hold ed-lead free from harm in any and all claims resulting from the customer in not having obtained all the required copyright, and/or any other necessary permissions.
Alterations
The customer agrees that changes required over and above the estimated work, or in addition to the agreed scope, or where the client makes changes to the supplied copy or changes required to be carried out after acceptance of the draft design, will be liable to a separate charge. The customer also agrees that ed-lead holds no responsibility for any amendments made by any third party, before or after a design is published.
Licensing
Any design, copywriting, drawing, idea or code created for the customer by ed-lead, or any of its contractors, is licensed for use by the client on a one-time only basis and may not be modified, re-used, or re-distributed in any way or form without the express written consent of ed-lead and any of its relevant sub-contractors. All design work – where there is a risk that another party make a claim, should be registered by the client with the appropriate authorities prior to publishing or first use or searches and legal advice sought as to its use.
Non-solicitation of employees
Whilst we see this as a compliment, you agree that during the term of this agreement and for twelve (12) months after the termination thereof you will not, directly or indirectly, on your own behalf or on behalf of or in conjunction with any person or legal entity, recruit, solicit, or induce, or attempt to recruit, solicit, or induce, any employee of our Company. Despite the above, should you, or anyone under your instruction, make an offer of employment to one of our employees and that offer is accepted, a one-off transfer fee of 20% of the agreed base salary will become immediately payable to us.

Other points:
ed-lead is a sales performance organisation. Your success in building your business and the success of your people is in your and their hands, although we will help you in any reasonable way possible. Our programmes may contain material that is in the public domain.
ed-lead is not a venue-based organisation. Unless prior arrangements are made, training will be conducted on your premises or on premises designated and financed by you. In the event that ed-lead is liable to any extent under this agreement or general law, liability is limited to the amount of the fee paid by you.
By engaging with ed-lead to assist you with your business &/or people you agree to these terms and conditions and to allow us to process the personal data of your business in accordance with the GDPR.
Occasionally we may send you information regarding updates and new services from ed-lead – If you do not wish to receive information from us please either call us on info@ed-lead.com to let us know.
We will not pass your personal information onto any third parties. ed-lead makes no warranties of any kind, express or implied, for any and all products and/or services that it supplies. ed-lead will not be held responsible for any and all damages resulting from products and/or services it supplies.
ed-lead is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The customer agrees not to hold ed-lead responsible for any such loss or damage. ed-lead reserves the right to use the services of sub-contractors, agents and suppliers and any work, content, services and usage is bound by their Terms and Conditions. ed-lead will not knowingly perform any actions to contravene these and the client also agrees to be so bound.
This agreement will be governed by the laws of England and Wales.
